Bonn, 15 May 2023. The hospital operator Artemed SE acquired all the shares in Krankenhaus Düren gem. GmbH on 11 May 2023. In the effort to acquire the hospital, which was previously run by the local authorities, Artemed SE assumed the obligation to make investments amounting to at least € 30.0 million.
Together with WMCF GmbH (Munich), a consulting firm specialised in the hospital sector, Redeker Sellner Dahs received the mandate through a public tender, thereafter providing the municipal shareholders comprehensive legal assistance and advice leading to the sale in ensuing negotiations, which lasted almost a year. In addition to drafting the extensive contractual agreement, the mandate also involved issues relating to municipal law, public procurement law, hospital law, state aid law, labour law and anti‑trust law.
“In the sale of the Düren hospital, we were once again able to leverage our high level of expertise in the healthcare sector combined with our interdisciplinary strength to further the interests of our clients, and thus achieve an excellent result”, is how Dr Jürgen Lüders described the transaction.
The City and District of Düren were represented by Dr Jürgen Lüders, vBP (ret.) (lead; M&A), Dr Markus Dierksmeier, LL.M., Florian Michael Weber, LL.M. (Stellenbosch), Michael Rosenfeld (all M&A), Matthias Flotmann (insolvency law), Dr Clemens Holtmann (state aid law), Dr Patrick Schäfer (real estate), Dr Heike Glahs (public procurement law), Dr Christian‑Dietrich Bracher (municipal law; hospital law), Hans‑Peter Hoh (real estate), Eugen Kunz (contract law), Dr Cathrin Brünkmans (M&A), Ira Gallasch, Axel Groeger (both labour law), Dr Andreas Rosenfeld (antitrust law) and Dr Kyrill Makoski (hospital law; Moeller & Partner).
